Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the ImpactMiles platform, including the website at impactmiles.co, any subdomains, mobile web applications, wallet, verification pages and APIs (together, the "Platform"). The Platform is operated by ImpactMiles ("we", "us", "our"). By accessing or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.

1. Who we are

ImpactMiles is a Hong Kong-founded platform that connects corporate sponsors, charities and individual participants around verified impact activities. Verification is anchored using KERI-based TrustMark credentials.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. Organisations must be duly incorporated or registered and the individual accepting these Terms must be authorised to bind that organisation.

3. Accounts and roles

The Platform supports four account types: Participant, Charity, Corporate and Admin. You are responsible for the accuracy of information you provide, for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorised use.

4. Verification, KYB and AML

Charities and corporates are subject to identity, know-your-business (KYB) and anti-money-laundering (AML) checks before they can transact on the Platform. We may request documentation such as registration certificates, tax status evidence (including, where applicable, Hong Kong Inland Revenue Ordinance section 88 status) and beneficial ownership information. We may suspend or terminate access if checks cannot be completed or if we identify a material risk.

5. Donations and sponsorships

Donations made through the Platform are transmitted to the selected charity subject to applicable fees clearly disclosed at the point of transaction. Sponsorships are milestone-based commercial arrangements between a corporate and a charity, facilitated by the Platform. ImpactMiles is not a charity and does not act as a fiduciary; it provides technology, verification and settlement infrastructure.

6. TrustMark credentials and the public ledger

The Platform issues TrustMark credentials (TMID, Receipt, Proof, Report) and publishes a public ledger of non-personal metadata for transparency. What is published, what is not and how to verify entries is described in our Privacy Notice. TrustMarks are informational; they do not constitute a security, a financial instrument or a legal tender.

7. Acceptable use

• Do not use the Platform for any unlawful, fraudulent or misleading purpose.
• Do not submit false verification documents or misrepresent an organisation.
• Do not attempt to bypass access controls, rate limits or verification checks.
• Do not scrape, mirror or resell Platform data beyond what public pages permit.
• Do not use the Platform to launder funds, evade sanctions or finance illegal activity.

8. Fees

Platform fees, payment-gateway costs and settlement timing are disclosed at the point of transaction and, for corporates, in the applicable order form. Fees may change with reasonable notice.

9. Intellectual property

The Platform, including all software, designs, trademarks (including "ImpactMiles", "TrustMark" and the ImpactMiles mark), and content, is owned by ImpactMiles or its licensors and is protected by law. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose.

10. Disclaimer of warranties

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. See our Disclaimer for further detail.

11. Limitation of liability

To the maximum extent permitted by law, ImpactMiles will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the Platform. Our total aggregate liability for any claim shall not exceed the fees paid by you to ImpactMiles in the twelve months preceding the event giving rise to the claim, or HKD 1,000, whichever is greater.

12. Indemnity

You agree to indemnify and hold harmless ImpactMiles, its officers, employees and agents from any claim, loss or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform or your violation of any law or third-party right.

13. Suspension and termination

We may suspend or terminate your account at any time if you breach these Terms, if verification fails, or if we are required to do so by law or a competent authority. You may close your account at any time; certain records (such as ledger metadata) will be retained as described in our Privacy Notice.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. The Hong Kong courts shall have exclusive jurisdiction, save that we may bring proceedings in any jurisdiction where you reside or operate to enforce our rights.

15. International users

Where you access the Platform from outside Hong Kong, you are responsible for compliance with local laws, including consumer protection, data protection, tax and charitable solicitation rules. Nothing in these Terms is intended to remove any non-waivable statutory right you may have in your jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version at this URL and update the "Last updated" date. Material changes will be notified via the Platform or by email.
